Web Design & Service Terms & Conditions
Quillsolo is a trading style of Ampersat Internet Publishing Ltd. For the purpose of these terms and conditions Ampersat Internet Publishing Limited & Quillsolo or Quillsolo.com and interchangeable.
1. Quillsolo / Ampersat Internet Publishing Ltd Terms and Conditions
The following are the standard terms and conditions for Website Design and Website Development work and apply to all work completed by Quillsolo / Ampersat Internet Publishing Ltd for our clients.
2. Website Design and Development Quotes and Specifications
All quotes and specifications are provided free of charge by Quillsolo / Ampersat Internet Publishing Ltd based on information provided by you.
3. Services
All services provided are the services agreed upon by both parties in writing.
4. Cost & Payments
Costs are the costs agreed upon by both parties in writing.
Payment schedule is usually 50% of web design fees to begin work, 50% of web design fees upon completion of design, then £25 per month in associated fees, unless a different schedule is agreed upon in writing.
5. Content for Website Design and Development
You will be required to supply all content required to complete your website based on the supplied specification and quote. The content required may include, but not limited to, images, photography, written content, video content and logos. If there is a delay in supplying these materials to Quillsolo / Ampersat Internet Publishing Ltd, we have the right to extend deadlines which are outlined in the specification and quote by a reasonable amount. If you fail to supply agreed on materials which prevent Quillsolo / Ampersat Internet Publishing Ltd from completing your project, we reserve the rights to invoice you for any part or parts of work which has been already completed.
6. Project Development Delays and Client Liability
Time frames for work to be completed are based upon your co-operation to complete the project(s). We expect there will be a certain amount of feedback required in order to make progress on your web projects. We require a single point of contact to be appointed by you and be made available on a daily basis to ensure your project is delivered on-time.
7. Changes to Your Requirements
Quillsolo / Ampersat Internet Publishing Ltd offers you (the client) the opportunity to give us feedback on any artwork produce. Quillsolo / Ampersat Internet Publishing Ltd allow a reasonable amount of revision to artwork where required. We reserve the rights to charge additional fees if you make changes to the original agreed specification which affects the overall design concept.
8. Website Warranty
Quillsolo / Ampersat Internet Publishing Ltd offers you a 1-year website warranty to give you peace of mind. Any issues which arise will be fixed free of charge by Quillsolo / Ampersat Internet Publishing Ltd. Warranty is void if any development work on the website is undertaken by third party web developers who are not affiliated with Quillsolo / Ampersat Internet Publishing Ltd.
9. Ecommerce Web Development
You (the client) must ensure you are complying with all laws relating to any eCommerce website developed by Quillsolo / Ampersat Internet Publishing Ltd. You agree to indemnify Quillsolo / Ampersat Internet Publishing Ltd from any claims, tax penalties or damages arising from your eCommerce online sales activities.
10. Search Engines
Quillsolo / Ampersat Internet Publishing Ltd does not guarantee specific positions in search engine results for any website created. We offer free level 1 search engine optimisation according to current search engine optimisation best practices.
11. Consequential Loss & Limitation of Liability
Quillsolo / Ampersat Internet Publishing Ltd shall not be liable for any loss or damage which you (client) may suffer which may be caused but not limited to website downtime, application errors or completion of website development.
Neither party will be liable for breach-of-contract damages that are remote or speculative, or that the breaching party could not reasonably have foreseen on entry into this agreement.
12. Cross-Browser Compatibility
Quillsolo / Ampersat Internet Publishing Ltd will design and develop your website using current trends and up-to-date technology. Our goal is to ensure your website is fully functional on the latest version of web browsers as follows: Google Chrome, Mozilla Firefox, Safari and Microsoft Edge. Old and obsolete web browsers may not be compatible with your website.
13. Website Ownership, Licensing & Intellectual Property
Quillsolo / Ampersat Internet Publishing Ltd reserves full rights over any website developed until you have made full payments for all work completed. You will have full ownership of the website once all your payments have cleared. You (the client) must request permission before any websites created by Quillsolo / Ampersat Internet Publishing Ltd can be replicated or distributed to any third parties. All websites developed for you (the client) are single license authorised unless prior agreements have been made between Quillsolo / Ampersat Internet Publishing Ltd and you (the client). Quillsolo / Ampersat Internet Publishing Ltd grants you the (the client) permission to make a copy of the website for future development purposes only. Project licenses can be transferred to new owners if at any time in the future if your business is sold.
The client guarantees that they have legal rights to all elements of text, photographs, and anything else that they provide the Web Designer with, and will not hold the Web Designer responsible for any third-party claims.
Quillsolo / Ampersat Internet Publishing Ltd will guarantee that they have legal rights to all elements related to the services they are providing and will not hold the client responsible for any third-party claims.
14. Third-Party Integration
Quillsolo / Ampersat Internet Publishing Ltd grant you (the client) the rights to integrate any website development project completed by Quillsolo / Ampersat Internet Publishing Ltd into third party systems which may include but not limited to APIs, CRM System, Websites, Databases, Social Media Platforms and Mobile Apps. You (the client) must take full responsibility for any development work undertaking on the website by web developers who are not affiliated with Quillsolo / Ampersat Internet Publishing Ltd.
15. Back-Up Website Data
Quillsolo / Ampersat Internet Publishing Ltd will provide a daily website back up for website projects which are hosted on Quillsolo / Ampersat Internet Publishing Ltd dedicated web servers. You (the client) must take full responsibility for implementing a backup procedure for websites which are not hosted on Quillsolo / Ampersat Internet Publishing Ltd dedicated web servers.
16. Third-Party IP Indemnity
Quillsolo / Ampersat Internet Publishing Ltd indemnifies you (the client) from any breach of third-party IP. Indemnification only applied to third-party IP used by Quillsolo / Ampersat Internet Publishing Ltd for development of website projects commission by you (client).
17. GDPR
Quillsolo / Ampersat Internet Publishing Ltd will only access user data for the purpose of web development and testing. Quillsolo / Ampersat Internet Publishing Ltd will not send any emails to user data which is not related to the scope of commissioned website project by you (the client).
18. Termination of Contract
Termination on Notice: Either party may terminate this agreement for any reason on 30 Business Days’ written notice to the other party.
Termination for Insolvency: If either party becomes insolvent, bankrupt, or enters receivership, dissolution, or liquidation, the other party may terminate this agreement with immediate effect.
Payment Obligations: Even after termination or expiration of this agreement, each party shall pay any amounts it owes to the other party, including payment obligations for services already rendered, work already performed, goods already delivered, or expenses already incurred, and refund any payments received but not yet earned, including payments for services not rendered, work not performed, or goods not delivered, expenses forwarded.
No Further Liability: On termination or expiration of this agreement, neither party will be liable to the other party, except for liability that arose before the termination or expiration of this agreement.
This Agreement will automatically terminate when both Parties have performed all their obligation under the Agreement and all payments have been made.
19. Confidentiality
During the term of this agreement and afterward, Quillsolo / Ampersat IP Ltd will use reasonable care to prevent the unauthorized use or dissemination of the Client’s confidential information. Confidential information is limited to information clearly marked as confidential.
Confidential information does not include information that: Quillsolo / Ampersat IP Ltd knew before you / the Client disclosed it; is or becomes public knowledge through no fault of Quillsolo / Ampersat IP Ltd; Quillsolo / Ampersat IP Ltd obtains from sources other than you/the client who owe no duty of confidentiality to you / the client, or Quillsolo / Ampersat IP Ltd develops independently.
20. Contract Governance
The contract outlined above between Quillsolo / Ampersat Internet Publishing Ltd and you (the client) will be governed by the exclusive jurisdiction of English courts.
